Herman Miller completes merger with Knoll; becomes MillerKnoll

ZEELAND — After completing its acquisition of furniture designer Knoll, Zeeland-based Herman Miller announced the brands will continue under a new name: MillerKnoll.

“We are excited to introduce MillerKnoll, a collective of dynamic brands coming together to design the world we live in,” said MillerKnoll President and CEO Andi Owen, who formerly held the same title at Herman Miller.

In late April, Herman Miller and Knoll announced their forthcoming union. Two months later, the shape of the merger is starting to become clear. Among other key details, we now know that the two have set a date for the design wedding of the century.

In internal emails obtained by Business of Home, Herman Miller CEO Andi Owen wrote to staff on June 18 that while the deal had originally been set to finalize in the third quarter of 2021, the merger has achieved antitrust clearance ahead of schedule, paving the way for a much earlier signing. Both companies are now set to hold shareholder votes on July 13. “Assuming everything goes as hoped, the deal should close about a week after those meetings,” Owen wrote.

Design is a particularly white profession. Depending on the poll, only 3% to 4.8% of designers are Black. But a powerful new collective of design companies is looking to change that.

Launching today, the Diversity in Design (DID) Collaborative is a group of nearly two dozen companies from across the design world—ranging from the furniture company Herman Miller to the software maker Adobe to the ubiquitous fashion brand Gap to the brand consultancy Wolff Olins—all of which are pledging meaningful efforts to bring equity to the field of design. Equity matters for any profession, but it has outsized importance within the world of design, which influences the look and feel of just about every product and service. Design can help create or crush equity.

Herman Miller Group addresses changing consumer needs at new Chicago destination

Herman Miller Group, whose high-end commercial and residential brands include Design Within Reach, HAY, Geiger and Maharam, as well as Herman Miller itself, recently opened a standalone destination in Chicago’s Fulton Market.

The 45,000 square-foot multi-brand, multi-use development includes a retail level for the Herman Miller, Design Within Reach and Hay brands, each with its own distinct perspective, entrance and storefront. They are positioned side-by-side and the open layout allows customers to easily shop across the brands.

The fundraiser — “Power of 10: Feed Your Neighbor, Fill Your Heart” — will be supported by Herman Miller Cares, which will provide a dollar-for-dollar match up to $5,000 for all monetary donations received by Community Action House in June.

Herman Miller, Inc. (NASDAQ: MLHR) and Knoll Inc. (NYSE: KNL) today announced that they have entered into a definitive agreement under which Herman Miller will acquire Knoll in a cash and stock transaction valued at $1.8 billion. The transaction, which has been unanimously approved by the Boards of Directors of both companies, is expected to close by the end of the third quarter of calendar year 2021, subject to the satisfaction of closing conditions.

During what is an already unique time for the office-furniture market comes a splashy move from major player Herman Miller.

Today, Herman Miller announced its $1.8 billion acquisition of Knoll Inc., one of its leading competitors in the design, manufacturing, and retailing of office and home furniture. The move is a cash-and-stock deal, with Knoll shareholders receiving the equivalent of $24.18 per share in the form of $11 in cash and 0.32 of a Herman Miller share, according to Bloomberg.
